Summary

  • These terms apply whenever you use our website or your ADP account.
  • ADP is an independent introducer. We are not part of any AI data buyer, and we never receive a business’s datasets.
  • Keep your account secure and the information you give us accurate.
  • The info pack is licensed for your own use. Please don’t copy, share or resell it.
  • Our information is general guidance, not legal, tax or financial advice.

1. About these terms

These terms apply to your use of https://ledgerdatapartners.com, our customer portal and our related services. By using the website or creating an account, you agree to them.

Other documents also apply where relevant:

  • our terms of sale and refunds, when you buy the info pack or a lead;
  • our lead terms, if you buy leads;
  • our affiliate terms, if you take part in our referral programme;
  • our acceptable use policy, privacy notice, cookie policy and disclaimer.

If one of those documents conflicts with these terms on its own subject, that document applies.

2. Who we are

The website is operated by [to be confirmed], trading as Accord Data Partners (ADP) (“ADP”, “we”, “us” or “our”).

  • Company name: [to be confirmed]
  • Trading name: Accord Data Partners (ADP)
  • Company number: [to be confirmed]
  • Registered office: [to be confirmed]
  • ICO registration number: [to be confirmed]
  • VAT number: [to be confirmed]
  • Email: [to be confirmed]

3. What ADP does

ADP introduces businesses to AI data buyers, which license historical operating records. We also sell an online info pack, sell consented business-introduction leads to info pack owners, and run a one-tier referral programme.

  • We are independent. We are not an employee, agent, representative or partner of any data buyer, and we can’t make offers, approve a data licence or decide a referral reward.
  • We never receive datasets or operating records. A business deals with a buyer directly and agrees any licence with that buyer.
  • Buyers decide eligibility, terms and rewards under their own programmes, which can change at any time.

4. Your account

  • You must be 18 or over to create an account.
  • Give us accurate information and keep it up to date.
  • An account is for one person. Don’t share your sign-in details or let anyone else use your account.
  • Keep your password secure. Tell us straight away at [to be confirmed] if you think someone else has used your account.
  • You are responsible for what happens in your account unless it results from our failure to keep the service secure.
  • You can close your account at any time by emailing us. We keep some records after closure, as our privacy notice explains.

5. Using the website

You must use the website lawfully and in line with our acceptable use policy. In particular, don’t upload or send us datasets, client records or special category personal data. There is no file upload on ADP, and our services never require it.

6. Our content and intellectual property

We, or the people who license material to us, own the intellectual property in the website, the info pack, our templates, our software and the ADP name and logo.

  • Info pack licence: when you buy the info pack, we give you a personal, non-exclusive, non-transferable licence to access it and use it for your own learning and your own business. You may adapt the templates and scripts to use with your own clients and contacts.
  • What you may not do: copy or publish the info pack, share your access, resell it, teach it as a course, or use it to build a competing product.
  • Our name and logo: don’t use the ADP name or logo in a way that suggests you are part of ADP or endorsed by us. Members of our referral programme may describe and link to ADP as our affiliate terms allow.

7. Information you give us

You keep ownership of messages and information you send us. You give us permission to use them to provide our services, as our privacy notice explains. You confirm that you are entitled to share what you send and that it is accurate.

8. Information, not advice

The website and the info pack contain general information. They are not legal, tax, financial or data protection advice, and they are not an offer to license data or a promise of any payment. Buyer programmes are described as they were published on the date we checked them, and they can change. See our disclaimer.

9. Other websites

We link to other websites, including buyers’ public pages, regulators and our providers. We don’t control those websites and aren’t responsible for their content, terms or privacy practices.

10. Availability and changes to the website

We work to keep the website available and secure, but we can’t promise that it will always be available or free of errors. We may update, suspend or withdraw parts of the website, for example for maintenance or security. Our terms of sale explain what happens to paid content.

11. Our responsibility to you

If you are a consumer: we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care and skill. Loss or damage is foreseeable if it is obvious it will happen or if both of us knew it might happen when you started using the service. We are not responsible for loss or damage that is not foreseeable, or for business losses.

If you use ADP for business: to the extent the law allows, we exclude all implied conditions, warranties and terms. We are not liable for loss of profits, revenue, business, contracts, goodwill or anticipated savings, loss or corruption of data, or any indirect or consequential loss. Our total liability to you in connection with the website and your account is limited to the greater of £100 and the total amount you paid us in the 12 months before the event giving rise to the claim. These limits apply whether the claim is in contract, tort (including negligence) or otherwise.

For everyone: we don’t guarantee that any business will qualify for a buyer’s programme, apply, sign a licence or complete a deal, or that any referral reward will be paid. Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that the law does not allow us to limit or exclude.

12. Suspending or closing accounts

We may suspend or close your account, or restrict access to parts of the service, if you seriously or repeatedly break these terms, if we reasonably suspect fraud or misuse, or if we must do so by law. Where it is reasonable to do so, we will tell you why and give you a chance to put things right. If we close your account without good reason, we will refund any prepaid amount for content you can no longer access.

13. Changes to these terms

We may update these terms, for example to reflect changes in the law or in our services. The version and effective date are shown at the top. If a change materially affects you, we will tell you by email or in the portal at least 14 days before it takes effect. If you don’t agree, you can close your account before then.

14. General

  • We may transfer our rights and obligations under these terms to another organisation; your rights will not be reduced. You may not transfer yours without our written agreement.
  • Only you and we have rights under these terms. Nobody else may enforce them under the Contracts (Rights of Third Parties) Act 1999.
  • If a court decides that part of these terms is unlawful, the rest continues to apply.
  • If we delay enforcing these terms, we can still enforce them later.
  • If you use ADP for business, these terms and the documents they refer to are the entire agreement between us about their subject.

15. Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction over any dispute. If you are a consumer living elsewhere in the UK, you can also bring proceedings in the courts where you live, and the mandatory consumer protections of that part of the UK still apply to you.

16. Contact

Email [to be confirmed]. For complaints, see our complaints policy.
